NON-COMPETE AGREEMENT

Top Notch Protective Services

By signing or acknowledging this form, the undersigned (“Individual”) agrees as follows:

1. Non-Competition

During the Individual’s employment, engagement, or contractual relationship with Top Notch Protective Services, and for a period of twelve (12) months following termination for any reason, the Individual shall not directly or indirectly:

Own, operate, manage, control, consult for, or be employed by any business providing security guard services, patrol services, alarm response, executive protection, event security, remote monitoring, or related protective services that compete with Top Notch Protective Services

Provide substantially similar services to any client, customer, or prospective client of Top Notch Protective Services with whom the Individual had contact or about whom the Individual obtained confidential information

2. Geographic Restriction

This restriction applies within fifty (50) miles of any location where Top Notch Protective Services maintains offices, performs services, or has active clients.

3. Non-Solicitation

The Individual agrees that for the same twelve (12) month period they will not:

Solicit or attempt to solicit any client, customer, or vendor of Top Notch Protective Services

Recruit, hire, or encourage any employee or contractor to leave the Company

4. Protection of Business Interests

The Individual acknowledges these restrictions are reasonable and necessary to protect the Company’s:

Client relationships

Goodwill

Confidential information

Operational methods and trade practices

5. Remedies

Violation of this Agreement may result in injunctive relief, monetary damages, and recovery of attorneys’ fees and costs to the fullest extent permitted by law.

6. Severability

If any provision is found unenforceable, the remaining provisions shall remain valid and enforceable.

NON-DISCLOSURE AGREEMENT (CONFIDENTIALITY)

Top Notch Protective Services

By signing or acknowledging this form, the undersigned (“Recipient”) agrees:

1. Definition of Confidential Information

Recipient may receive or access confidential or proprietary information including, but not limited to:

Client names, addresses, schedules, and security requirements

Patrol routes, alarm response procedures, and post orders

Pricing, proposals, contracts, and operational strategies

Technology systems, monitoring practices, passwords, and communications

Employee information and internal company data

All such information shall be deemed Confidential Information.

2. Non-Disclosure and Use Restrictions

Recipient agrees:

Not to disclose Confidential Information to any third party without written authorization

Not to use Confidential Information for personal gain or for the benefit of any competing business

To use such information solely for legitimate business purposes of Top Notch Protective Services

3. Safeguarding Information

Recipient shall take reasonable measures to protect Confidential Information and shall immediately report any unauthorized disclosure or suspected breach.

4. Return of Company Property

Upon termination of employment or engagement, Recipient agrees to immediately return all company property, including:

Keys, badges, uniforms, and equipment

Documents, manuals, and electronic data

Access credentials and devices

5. Duration

These confidentiality obligations shall remain in effect during employment and indefinitely thereafter, unless the information becomes publicly available through lawful means.

6. Remedies

Recipient acknowledges unauthorized disclosure may cause irreparable harm and agrees the Company may seek injunctive relief, damages, and recovery of legal costs.

7. Governing Law

This Agreement shall be governed by the laws of the state in which Top Notch Protective Services primarily conducts business.
